Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the Vynlo website, application, and related services (together, the "Service") provided by Vynlo ("Vynlo", "we", "us", or "our"). By creating an account, joining our early access list, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

1. Eligibility

You must be at least 18 years old and able to form a legally binding contract to use the Service. By using the Service, you represent that you meet these requirements and that the information you provide is accurate and complete.

2. Your account

To use most features, you must create an account. You are responsible for maintaining the confidentiality of your sign-in credentials and for all activity that occurs under your account. You agree to notify us promptly at hello@vynlo.io if you suspect any unauthorised use of your account. We are not liable for any loss arising from your failure to safeguard your credentials.

3. The Service and early access

Vynlo is a household finance application that helps you record, organise, and plan your money, including features for transactions, budgets, post-dated cheques, loans, remittances, planned commitments, and document scanning. The Service is offered on an evolving basis and may currently be made available as an early access or beta release. This means some features may change, be added, or be removed, and the Service may contain errors or be interrupted from time to time.

4. Households and member roles

The Service lets you create or join a household and share financial information with other members. Members may hold different roles (owner, editor, or viewer) that determine what they can view or change. If you invite others to your household or accept an invitation, you are responsible for ensuring that sharing this information is appropriate. The household owner may manage members and their access.

6. Automated and AI-assisted features

Some features use automated processing and third-party artificial intelligence to read information from images, documents, and text you submit (for example, scanning a cheque or importing a statement). These features are provided to save you time, but the results may be inaccurate or incomplete. You must review and verify all extracted or suggested information before relying on it or saving it. We are not responsible for decisions you make based on automated output that you did not verify.

7. Your content

You retain ownership of the information and content you enter into the Service ("Your Content"). You grant us a limited licence to host, store, process, and display Your Content solely as needed to operate and provide the Service to you and your household, including transmitting documents to our processing providers as described in our Privacy Policy. You are responsible for the accuracy and legality of Your Content and for having the right to provide any information you submit, including information about third parties such as payees or beneficiaries.

8. Acceptable use

You agree not to:

• use the Service for any unlawful, fraudulent, or harmful purpose;
• access or attempt to access another user's or household's data without authorisation;
• interfere with, disrupt, or compromise the security or integrity of the Service;
• attempt to reverse engineer, copy, or create derivative works of the Service except as permitted by law;
• use automated means to access the Service in a way that places an unreasonable load on our systems; or
• upload content that infringes the rights of others or that you do not have the right to submit.

9. Third-party services

The Service relies on third-party providers (for example, for AI processing, email delivery, sign-in, exchange-rate data, and mapping). Your use of the Service may be subject to those providers' terms, and we are not responsible for their acts or omissions. Links or integrations to third-party services are provided for convenience and do not imply our endorsement.

10. Fees

The Service may currently be offered free of charge during early access. We reserve the right to introduce fees or paid plans for some or all features in the future. If we do, we will provide notice and give you the choice to accept the new terms or stop using the paid features before any charges apply.

11. Intellectual property

The Service, including its software, design, branding, and content (excluding Your Content), is owned by Vynlo or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for your personal and household use in accordance with these Terms. All rights not expressly granted are reserved.

12. Disclaimer of warranties

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or that any data, calculation, or automated output will be accurate or complete.

13. Limitation of liability

To the maximum extent permitted by law, Vynlo and its officers, employees, and providers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, goodwill, or financial loss, arising out of or related to your use of, or inability to use, the Service, even if we have been advised of the possibility of such damages. To the extent any liability cannot be excluded, our total liability for all claims relating to the Service will not exceed the greater of the amount you paid us for the Service in the twelve months before the claim, or a nominal sum permitted by applicable law.

14. Indemnification

You agree to indemnify and hold harmless Vynlo and its providers from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your misuse of the Service, your violation of these Terms, or your infringement of the rights of any third party.

15. Suspension and termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access to the Service if you breach these Terms, if required by law, or to protect the Service or other users. On termination, your right to use the Service ends. Provisions that by their nature should survive termination (such as ownership, disclaimers, limitation of liability, and indemnification) will continue to apply.

16. Changes to the Service and these Terms

We may modify or discontinue the Service, in whole or in part, at any time. We may also update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, notify you through the Service. Your continued use of the Service after an update means you accept the revised Terms.

17. Governing law

These Terms are governed by the laws of the jurisdiction in which Vynlo is established, without regard to its conflict-of-law rules, and the courts of that jurisdiction will have exclusive jurisdiction over any dispute, unless mandatory local law where you live provides otherwise.
